1. Our Services

  • Talking Shops provides a cloud-based SaaS platform for WhatsApp commerce, chatbots, customer engagement, Shopify integration, and related features.
  • We may update, improve, or modify features over time.

2. Accounts and Access

  • To use Talking Shops, you must create an account and provide accurate information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree not to misuse Talking Shops (e.g., sending spam, violating WhatsApp’s policies, or attempting to reverse-engineer our systems).

3. Subscription and Fees

  • Talking Shops is offered as a paid subscription.
  • Pricing, billing cycles, and usage limits are published on our website or in your subscription plan.
  • You authorize us to charge subscription fees and applicable taxes.
  • Fees are non-refundable except as required by law.

4. WhatsApp, Shopify, and Third-Party Services

  • Talking Shops integrates with third-party platforms like Meta’s WhatsApp Business API, Shopify, and Razorpay.
  • You remain responsible for your accounts with those services, including their fees (e.g., Meta’s per-message charges, Shopify app fees).
  • We are not liable for outages or issues caused by third-party platforms.

5. Data and Ownership

  • Your Data: You retain ownership of your business data, customer conversations, and content. We only process it to provide the Services.
  • Our Technology: Talking Shops retains all rights to the platform, software, chatbot logic, integrations, and related IP.
  • You may not copy, resell, or redistribute Talking Shops without written consent.

6. Acceptable Use

You agree not to use Talking Shops for:

  • Sending unsolicited or bulk spam messages.
  • Violating WhatsApp or Shopify’s terms of service.
  • Illegal, abusive, or fraudulent activity.

We reserve the right to suspend or terminate accounts that violate this policy.

7. Service Availability

  • We aim to provide reliable, high-availability service but do not guarantee 100% uptime.
  • Scheduled maintenance or third-party outages may affect availability.

8. Support

  • Subscription includes standard support via email or chat.
  • Enterprise customers may have custom support arrangements.

9. Term and Termination

  • Subscriptions renew automatically until canceled.
  • You may cancel anytime via your account settings; cancellation is effective at the end of your billing cycle.
  • We may suspend or terminate your account for non-payment, violations of these Terms, or misuse of the Services.

10. Confidentiality

  • We keep your business data confidential and will not disclose it except as required by law or to deliver the Services.

11. Limitation of Liability

  • To the maximum extent permitted by law, Talking Shops’ liability is limited to the fees you paid in the 12 months before a claim.
  • We are not liable for lost profits, indirect damages, or issues arising from WhatsApp, Shopify, or other third-party services.

12. Indemnity

You agree to indemnify and hold Talking Shops harmless from claims arising from your misuse of the Services, violation of WhatsApp/Shopify policies, or unlawful activities.

13. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on our website, and continued use of Talking Shops means you accept the changes.

14. Governing Law

These Terms are governed by the laws of India. Any disputes are subject to the jurisdiction of courts in Bengaluru, Karnataka.
